Address: Qingdao Free Trade Zone, Shandong, China.
甲方为建材产品的制造商或经销商。乙方为中国的建材采购联盟的经营者。甲方同意成为乙方的一名供应商会员，按照采购合同向乙方的中国客户供应建材产品。
Party A is the manufacturer
or dealer of building materials. Party B is the
runner of China Building Material Purchasing Alliance.
Party A agrees to be a supplier member of Party
B, supplying building materials to Chinese customers
of Party A, according to the purchasing contract.
甲方愿意接受并且遵循如下供应商会员的协议条款：
Party A agrees to accept and conform to the following
terms:
第一条 甲方愿意成为乙方的建材供应商，并依采购合同向乙方和天悦会员客户提供所采购的建材产品。
A) Party A agrees to be a building materials supplier
of Party B, supplying building materials to Party
B and Party B's customers contracted.
第二条 甲方保证采购合同所指明的产品质量和数量，否则乙方将中止甲方的会员资格。在甲方违反采购合同并给乙
方带来经济损失时，乙方保留对甲方采取法律手段的权力。
B) Party A guarantees the quality and quantities
of products contracted. Otherwise, Party A's membership
can be cancelled by Party B. In case any loss
arises from the breach of contract by Party A,
Party B withholds the right of suing.
第三条 甲方保证为乙方的客户提供必要的产品和服务支持。具体的产品和服务支持的内容与范围由具体的采购合同定义。
C) Party A is required to provide Party B product
and service support necessary. The content and
requirements of specific product and service support
is to be defined in the purchasing contract.
第四条 甲方必须根据乙方的要求，免费提供最新的产品价格单副本及营销援助，包括产品目录、宣传册、样品等与产品销售有关的资料；尽快答复乙方提出的各种合理要求，以便乙方更好地做好产品的市场营销工作。
D) Party A is required to provide Party B free
copies of newest product price and sales support
on the request of Party B. Free copies include
product catalogues, promotion brochures, samples,
and all the related sales information. Party A
must reply to all reasonable requests from Party
B in time, ensuring that Party B effectively develops
its marketing activities.
第五条 为合理维护乙方的商誉和商务利益，甲方在本协议期满后一年的期限内，不得以任何借口或以委托、代理、雇佣、合作、代表等形式，与原先由本协议的乙方所介绍的客户发生直接的不经过乙方的业务关系，除非有乙方的书面许可。
E) To safeguard the benefit and business reputation
of Party B, within one year, starting from the
expiry of this agreement, Party A is not allowed
to build any kind of direct business relationship
with clients introduced by Party B, such as entrusting,
agent, employment, cooperation, business epresentative,
etc.; unless Party A has the formal paper permission
of Party B.
第六条 甲方同意为其产品在中国推广付出一定的广告费用。广告费用不超过甲方产品的销售额的0.1%。
F) Party A agrees to pay a sum of advertising
expenditure for its sales promotion in China.
The sum is no more than 0.1% of sales amount of
Party A.
第七条 在乙方采购量达到双方商定的标准的条件下，甲方同意为乙方提供优于甲方的其它中国客户的付款条件。
G) Under the condition that the purchasing amount
arrives the quantity contracted, Party A agrees
to give Party B better terms of payment than the
other Chinese clients of Party A.
第八条 除不可抗拒的力量或事件影响外，甲方保证准时地向乙方提供采购合同指明的产品。任何由于甲方延误而造成的经济损失均由甲方补偿。
H) Except Force Majeure and events beyond the
control of Party A, Party A guarantees the time
of delivery contracted. Party A is responsible
for any loss arises from Party A's delayed delivery.
乙方同意按本协议规定的条款向甲方提供有关销售产品的经营服务。乙方同意为甲方提供下列服务：
Party B agrees to provide Party A sales services
of the related products, according to the terms
stated in this agreement. Party B agrees to provide
Party A the following services:
第九条 乙方向甲方提供一个覆盖中国的建材销售网络，乙方按照甲方确定的方式和价格，在中国竭尽全力推销甲方的建材产品。
I) Party B is to provide Party A a sales network
covering the whole China. Party B is to do its
best to promote Party A's products, based on the
prices and sales conditions confirmed by Party
A.
第十条 乙方免费向甲方提供将甲方产品进入乙方的电子产品目录，供乙方的目标客户采购。
J) Party B is to freely promote the Party A's
products to Party B's alliance members through
Party B's information center.
第十一条 乙方愿意为甲方的产品在乙方的展示厅内有偿提供产品的展示。
K) Party B agrees to display Party A's products
in Party B's exhibition center on the certain
charge borne by the Party A.
第十二条 乙方同意每年为甲方在中国提供其产品的广告促销。但所用广告费用不低于乙方从甲方获取的广告费。
L) Party B agrees to promote Party A's products
in China by advertising each year. The related
charge is no less than the advertising expenditure
paid by
Party A.
甲乙双方同意如下条款：
Both parties agree to the following terms:
第十三条 本协议未尽事宜，双方可以补充规定，补充协议与本协议有同等效力。
M) The unstated terms
in this agreement can be arranged as supplements
by both parties. The supplements are of the same
effective as this agreement.
第十四条 本协议一式二份，甲乙双方各一份。本协议自甲乙双方签字（或盖章）之日起生效。
N) This agreement is in two originals. Both parties
hold one. This agreement is valid dating from
the day of signing by both parties .
第十五条 甲乙双方每年对协议各条款进行一次审核。
O) Both parties will hold a yearly check of the
terms of this agreement.
第十六条 任何合同纠纷均由中国青岛管辖。
P) Any dispute from this agreement must be settled
in Qingdao, China.
